These Terms of Service ("Terms") govern your access to and use of the website and services provided by Exel Solutions Dnb Hd ("Exel", "we", "us"). By visiting or using our site or engaging our services you agree to these Terms. If you do not agree, please do not use our site or services.
Exel provides media buying, programmatic advertising, paid social, search marketing, analytics and related digital marketing services. Specific project scope, deliverables, fees, timelines and acceptance criteria will be set forth in a separate Statement of Work ("SOW") or written agreement signed by both parties. To the extent of any conflict, the terms of the SOW control the relationship for that engagement.
Clients must provide timely access to assets, brand guidelines, ad accounts, data, and approvals necessary to perform services. Failure to provide required materials may delay delivery and may affect fees and timelines.
Fees, payment schedules, and billing terms are set in the applicable SOW. Unless otherwise stated, invoices are due within 30 days. Late payments may accrue interest and/or suspension of services until receivable balances are settled.
Unless otherwise agreed in writing, Exel retains ownership of pre-existing intellectual property, systems, templates, and methodologies used to deliver services. Clients are granted a limited, non-exclusive license to use deliverables for the purposes described in the applicable SOW upon full payment. Client-provided materials remain the property of the client.
Each party will treat the other party’s confidential information with reasonable care and will not disclose it to third parties except as required by law or with prior written consent.
Exel warrants that services will be performed with reasonable skill and care. Except as expressly provided, services and deliverables are provided "as is" and Exel disclaims all other warranties, whether express, implied or statutory to the fullest extent permitted by law.
To the maximum extent permitted by applicable law, neither party will be liable to the other for consequential, incidental, indirect, special or punitive damages. Exel’s aggregate liability arising out of or related to these Terms will not exceed the fees paid by the client under the applicable SOW in the prior 12 months.
You agree to indemnify and hold Exel harmless from claims arising out of your misuse of the site or services, breaches of these Terms, or infringements by materials you provide.
Either party may terminate an SOW for material breach if the breach remains uncured after 30 days’ written notice. Termination of the SOW does not relieve client of payment obligations for services performed prior to termination.
These Terms are governed by the laws of Malaysia. Any dispute will be subject to the exclusive jurisdiction of Malaysian courts, unless otherwise agreed in writing.
We may update these Terms from time to time. Material changes will be communicated on our website. Continued use of the site after changes constitutes acceptance of the revised Terms.
